Study Curve Terms of Use

StudyCurve.com is a social and educational networking service that allows Members to make their own personal and student/faculty profiles online for the purpose of finding, networking, and studying with friends and study partners, new and old. The services offered by StudyCurve.com include the StudyCurve.com website, the StudyCurve.com internet messaging service, and any other features, applications, or content offered at any time by StudyCurve.com in connection with the StudyCurve.com Website. Any and all services provided by StudyCurve.com are referred to collectively as “StudyCurve.com”. StudyCurve.com is hosted in the United States of America.

This Terms of Use Agreement ("Agreement") sets forth the legally binding terms for your use of StudyCurve.com. By using StudyCurve.com, you agree to be bound by this Agreement, whether you are a Visitor (meaning you simply browse the Website) or a Member (meaning you have registered with StudyCurve.com). The term "User" means a Visitor or a Member. You are authorized to use StudyCurve.com only if you agree to comply with all applicable laws and with this Agreement. Please read this Agreement carefully and save it. If you do not agree with it, you must leave the StudyCurve.com website and discontinue use of StudyCurve.com immediately. If you wish to become a Member, to communicate with other Members or to otherwise make use of StudyCurve.com, you must read this Agreement and indicate your acceptance of it during the Registration process.

This Agreement includes StudyCurve.com's policy for acceptable use of StudyCurve.com and its services and content posted on the StudyCurve.com website. It includes your rights, obligations and restrictions regarding your use of StudyCurve.com services and website. It includes StudyCurve.com's Privacy Policy. In order to participate in certain StudyCurve.com services, you may be notified that you must download software or content and/or agree to additional terms and conditions. Unless otherwise provided by additional terms and conditions applicable to StudyCurve.com services in which you choose to participate, those additional terms are hereby incorporated into this Agreement. StudyCurve.com may modify this Agreement from time to time, and such modification shall be effective upon posting by StudyCurve.com on the StudyCurve Website. You agree to be bound by any changes to this Agreement when you use StudyCurve.com after any such modification is posted. It is therefore vital that you review this Agreement regularly to be sure you are updated as to any changes.

Please decide carefully the information you post on StudyCurve.com and that you provide to other Users. Your StudyCurve.com profile shall not include the following items: telephone numbers, street addresses, and any photographs containing nudity, or obscene, lewd, excessively violent, harassing, sexually explicit or otherwise objectionable subject matter. Despite this prohibition, information provided by other StudyCurve.com Members (for instance, in a Profile) might in fact contain inaccurate, inappropriate, offensive or sexually explicit material, products or services, and StudyCurve.com assumes no responsibility or liability for this material. If you become aware of misuse of the StudyCurve.com and/or its services by any person, please contact StudyCurve.com or click on the "Flag for Abuse" link on any StudyCurve.com page.

StudyCurve.com reserves the right, in its sole discretion, to reject, refuse to post, or remove any posting (including private messages) by you, or to restrict, suspend, or terminate your access to all or any part of StudyCurve.com and/or its services, at any time, for any or no reason, with or without prior notice, and without liability. StudyCurve.com expressly reserves the right to remove your profile and/or to restrict, suspend, or terminate your access to any part of StudyCurve.com if StudyCurve.com determines, in its sole discretion, that you pose a threat to StudyCurve.com and/or its Users.

  1. Eligibility. Use of and Membership in StudyCurve.comis void where prohibited. By using StudyCurve.com and/or its services, you represent and warrant that (a) all registration information you submit is truthful and accurate; (b) you will maintain the accuracy of such information; (c) you are 14 years of age or older; and (d) your use of StudyCurve.comdoes not violate any applicable law or regulation. Your profile may be deleted and your Membership may be terminated without warning, if StudyCurve.com believes that you are under 14 years of age.
  2. Term. This Agreement shall remain in full force and effect while you use StudyCurve.com or are a Member. You may terminate your Membership at any time, for any reason, by following the instructions on the Member's Account Settings page. StudyCurve.commay terminate your Membership at any time, without warning. Even after Membership is terminated, this Agreement will remain in effect, including sections 5-17.
  3. Fees. You acknowledge that StudyCurve.comreserves the right to charge for StudyCurve.com and/or its services and to change its fees from time to time in its discretion. If StudyCurve.comterminates your Membership because you have violated this Agreement, you shall not be entitled to the refund of any unused portion of subscription fees.
  4. Password. When you sign up to become a Member, you will also be asked to choose a password for yourself. You are solely responsible for maintaining the confidentiality of your password. You agree not to use the account, username, or password of another Member at any time or to disclose your password to any third party. You agree to notify StudyCurve.comimmediately if you suspect that there is any unauthorized use of your account or access to your password. You are solely responsible for any and all use of your account.
  5. Non-commercial Use by Members. StudyCurve.com is for the personal use of Members only and may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by StudyCurve.com. Illegal and/or unauthorized use of StudyCurve.com and/or its services, including collecting usernames and/or email addresses of Members by electronic or other means for the purpose of sending unsolicited email or unauthorized framing of or linking to the StudyCurve.com Website is prohibited. Commercial advertisements, affiliate links, and other forms of solicitation may be removed from Member profiles without notice and may result in termination of Membership privileges. Appropriate legal action will be taken for any illegal or unauthorized use of StudyCurve.com and/or its services.
  6. Proprietary Rights in Content on StudyCurve.com.
    1. StudyCurve.com does not claim any ownership rights in the text, files, images, photos, video, sounds, musical works, works of authorship, or any other materials (collectively, "Content") that you display or publish (“post”) on StudyCurve.com. After you post your Content to StudyCurve.com, you will continue to retain all ownership rights in such Content, and you will continue to have the right to use your Content in any way you decide. However, by posting any Content on or through the StudyCurve.com, you hereby grant to StudyCurve.com a limited license to use, modify, publicly perform, publicly display, reproduce, and distribute such Content solely on and through StudyCurve.com.
    2. Without the said limited license, StudyCurve.comwould be unable to provide StudyCurve.com services. For example, without the right to modify Member Content, StudyCurve.comwould not be able to digitally compress music or graphic files that Members submit, or otherwise to format Content to satisfy technical requirements. And without the right to publicly present or perform Member Content, StudyCurve.com could not allow Users to listen to music or interact with study graphics posted by Members. The limited license you grant to StudyCurve.comis non-exclusive (meaning you are free to license your Content to anyone else in addition to StudyCurve.com), is fully-paid and royalty-free (meaning that StudyCurve.comis not required to pay you for the use on the StudyCurve.comof the Content that you post), is sub-licensable (so that StudyCurve.comis able to use its affiliates and subcontractors such as Internet content delivery networks to provide StudyCurve.com services), and is worldwide (because the Internet and StudyCurve.comservices are global in reach). This limited license will terminate at the time you remove your Content from StudyCurve.com. The limited license does not grant StudyCurve.comthe right to sell your Content, nor to distribute your Content outside of StudyCurve.com.
    3. You represent and warrant that (i) you own any and all Content posted by you on or through StudyCurve.com,or otherwise have the right to grant the limited license set forth in this section, and that (ii) the posting of your Content on or through StudyCurve.com does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person. You agree to pay for any and all royalties, fees, and other monies owing any person by reason of any Content posted by you to or through StudyCurve.com.
    4. StudyCurve.comcontains Content and services of StudyCurve.com. StudyCurve.comContent is protected by copyright, trademark, patent, trade secret and other laws, and StudyCurve.comowns and retains all rights in StudyCurve.comContent and services. StudyCurve.comhereby grants you a limited, revocable, non-sub licensable license to reproduce and display StudyCurve.comContent (excluding any software code) solely for your personal use in connection with viewing StudyCurve.comand using StudyCurve.com services.
    5. StudyCurve.comcontains Content of Users and other StudyCurve.comlicensors. Except for Content posted by you, you may not copy, modify, translate, publish, broadcast, transmit, distribute, perform, display, or sell any Content appearing on or through StudyCurve.com.
  7. Content Posted.
    1. StudyCurve.commay delete any Content that in the sole judgment of StudyCurve.comviolates this Agreement or which may be offensive, illegal or violate the rights, harm, or threaten the safety of any person. StudyCurve.comassumes no responsibility for monitoring StudyCurve.com for inappropriate Content or conduct. If at any time StudyCurve.comchooses, in its sole discretion, to monitor StudyCurve.com, StudyCurve.comnonetheless assumes no responsibility for the Content, no obligation to modify or remove any inappropriate Content, and no responsibility for the conduct of the User submitting any such Content.
    2. You are solely responsible for the Content that you post on or through (any of) StudyCurve.com, and any material or information that you transmit to other Members and for your interactions with other Users. StudyCurve.comdoes not endorse and has no control over the Content. Content is not necessarily reviewed by StudyCurve.comprior to posting and does not necessarily reflect the opinions or policies of StudyCurve.com. StudyCurve.commakes no warranties, express or implied, as to the Content or to the accuracy and reliability of the Content or any material or information that you transmit to other Members.
  8. Content/Activity Prohibited. The following is a partial list of the kind of Content that is illegal or prohibited to post on or through StudyCurve.com. StudyCurve.comreserves the right to investigate and take appropriate legal action against anyone who, in StudyCurve.com’ssole discretion, violates this provision, including without limitation, removing the offending communication from StudyCurve.comand terminating the Membership of such violators. Prohibited Content includes, but is not limited to Content that, in the sole discretion of StudyCurve.com:
    1. is patently offensive and/or promotes racism, bigotry, hatred or physical harm of any kind against any group or individual;
    2. harasses or advocates harassment of another person;
    3. exploits people in a sexual or violent manner;
    4. contains nudity, violence, or offensive subject matter or contains a link to an adult website;
    5. solicits personal information from anyone under 18;
    6. provides any telephone numbers, street addresses, URLs or email addresses;
    7. promotes information that you know is false or misleading or promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory or libelous;
    8. promotes an illegal or unauthorized copy of another person's copyrighted work, such as providing pirated computer programs or links to them, providing information to circumvent manufacture-installed copy-protect devices, or providing pirated music or links to pirated music files;
    9. involves the transmission of "junk mail," "chain letters," or unsolicited mass mailing, instant messaging, "spimming," or "spamming";
    10. contains restricted or password only access pages or hidden pages or images (those not linked to or from another accessible page);
    11. furthers or promotes any criminal activity or enterprise or provides instructional information about illegal activities including, but not limited to making or buying illegal weapons, violating someone's privacy, or providing or creating computer viruses;
    12. solicits passwords or personal identifying information for commercial or unlawful purposes from other Users;
    13. involves commercial activities and/or sales without our prior written consent such as contests, sweepstakes, barter, advertising, or pyramid schemes;
    14. includes a photograph of another person that you have posted without that person's consent; or
    15. for band and filmmaker profiles, uses sexually suggestive imagery or any other unfair, misleading or deceptive Content intended to draw traffic to the profile.

The following is a partial list of the kind of activity that is illegal or prohibited on StudyCurve.com or through your use of StudyCurve.com services. StudyCurve.com reserves the right to investigate and take appropriate legal action against anyone who, in StudyCurve.com ‘s sole discretion, violates this provision, including without limitation, reporting you to law enforcement authorities. Prohibited activity includes, but is not limited to:

    1. criminal or tortuous activity, including child pornography, fraud, trafficking in obscene material, drug dealing, gambling, harassment, stalking, spamming, spimming, sending of viruses or other harmful files, copyright infringement, patent infringement, or theft of trade secrets;
    2. advertising to, or solicitation of, any Member to buy or sell any products or services through StudyCurve.com. You may not transmit any chain letters or junk email to other Members. It is also a violation of these rules to use any information obtained from StudyCurve.comin order to contact, advertise to, solicit, or sell to any Member without their prior express consent. In order to protect our Members from such advertising or solicitation, StudyCurve.comreserves the right to restrict the number of emails which a Member may send to other Members in any 24-hour period to a number which StudyCurve.comdeems appropriate in its sole discretion. If you breach this Agreement and send unsolicited bulk email, instant messages or other unsolicited communications of any kind through StudyCurve.com, you acknowledge that you will have caused substantial harm to StudyCurve.com, but that the amount of such harm would be extremely difficult to ascertain. As a reasonable estimation of such harm, you agree to pay StudyCurve.com$100.00 in damages for every single such unsolicited email or other unsolicited communication you send through StudyCurve.com;
    3. covering or obscuring the banner advertisements on your personal profile page, or any StudyCurve.compage via HTML/CSS or any other means;
    4. any automated use of the system, such as using scripts to add friends or send comments or messages;
    5. interfering with, disrupting, or creating an undue burden on StudyCurve.comor the networks or services connected to StudyCurve.com;
    6. attempting to impersonate another Member or person;
    7. using the account, username, or password of another Member at any time or disclosing your password to any third party or permitting any third party to access your account;
    8. selling or otherwise transferring your profile;
    9. using any information obtained from StudyCurve.comin order to harass, abuse, or harm another person;
    10. displaying an advertisement on your profile, or accepting payment or anything of value from a third person in exchange for your performing any commercial activity on or through StudyCurve.comon behalf of that person, such as placing commercial content on your profile, posting blogs or bulletins with a commercial purpose, selecting a profile with a commercial purpose as one of your "Top 10" friends, or sending private messages with a commercial purpose; or
    11. using StudyCurve.comin a manner inconsistent with any and all applicable laws and regulations.
  1. Copyright Policy. You may not in any way post, modify, distribute, or reproduce any copyrighted material, trademarks, or other proprietary information belonging to others without obtaining the prior written consent of the owner of such proprietary rights. It is the policy of StudyCurve.comto terminate Membership privileges of any Member who repeatedly infringes the copyright rights of others upon receipt of proper notification to StudyCurve.comby the copyright owner or the copyright owner's legal agent. Without limiting the foregoing, if you believe that your work has been copied and posted on StudyCurve.comin a way that constitutes copyright infringement, please provide our Copyright Agent with the following information: (i) an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest; (ii) a description of the copyrighted work that you claim has been infringed; (iii) a description of where the material that you claim is infringing is located on StudyCurve.com; (iv) your address, telephone number, and email address; (v) a written statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; (vi) a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf. StudyCurve.com‘sCopyright Agent for notice of claims of copyright infringement can be reached as follows: Copyright Agent, StudyCurve.com, P.O Box 1913, Westminster, CO 80035; Facsimile: (303) 845-9956; Attn: Copyright Agent; and email: copyrightagent@studycurve.com.
  2. Member Disputes. You are solely responsible for your interactions with other StudyCurve.comMembers. StudyCurve.comreserves the right, but has no obligation, to monitor disputes between you and other Members.
  3. Privacy. Use of StudyCurve.comis also governed by StudyCurve.com’s Privacy Policy, which is incorporated into this Agreement by this reference.
  4. Disclaimers. StudyCurve.comis not responsible for any incorrect or inaccurate Content posted on or in connection with StudyCurve.comWebsite, whether caused by a User or Users of StudyCurve.comor by any of the equipment or programming associated with or utilized in StudyCurve.com. Profiles created and posted by Members on the StudyCurve.com Website may contain links to other websites. StudyCurve.comis not responsible for the Content, accuracy or opinions expressed on such websites, and such websites are in no way investigated, monitored or checked for accuracy or completeness by StudyCurve.com. Inclusion of any linked website on StudyCurve.com does not imply approval or endorsement of the linked website by StudyCurve.com. When you access these third-party sites, you do so at your own risk. StudyCurve.comtakes no responsibility for third party advertisements that are posted on StudyCurve.comor through StudyCurve.com services, nor does it take any responsibility for the goods or services provided by any advertiser. StudyCurve.comis not responsible for the conduct, whether online or offline, of any User of StudyCurve.com. StudyCurve.comassumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, any User or Member communication. StudyCurve.comis not responsible for any problem or technical malfunction of any telephone network or line, computer online system, server or provider, computer equipment, software, or failure of any email or players due to technical problems or traffic congestion on the Internet or on any StudyCurve.com services or combination thereof, including any injury or damage to any User or to any person's computer related to or resulting from participation or downloading materials in connection with the StudyCurve.com. Under no circumstances shall StudyCurve.combe responsible for any loss or damage, including personal injury or death, resulting from use of StudyCurve.com, from attendance at a StudyCurve.comevent, from any Content posted on or through StudyCurve.com, or from the conduct of any User of StudyCurve.com, whether online or offline. StudyCurve.com and it services are provided "AS-IS" and as available and StudyCurve.comexpressly disclaims any warranty of fitness for a particular purpose or non-infringement. StudyCurve.com cannot guarantee and does not promise any specific results from use of StudyCurve.com.
  5. Limitation on Liability. IN NO EVENT SHALL STUDYCURVE.COMBE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF STUDYCURVE.COMHAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, STUDYCURVE.COM‘S LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO MY STUDENT CONTACTS FOR STUDYCURVE.COMDURING THE TERM OF MEMBERSHIP.
  6. U.S. Export Controls. Software available in connection with the STUDYCURVE.COM(the "Software") is further subject to United States export controls. No Software may be downloaded from StudyCurve.com or otherwise exported or re-exported in violation of U.S. export laws. Downloading or using the Software is at your sole risk.
  7. Disputes. If there is any dispute about or involving StudyCurve.com, you agree that the dispute shall be governed by the laws of the State of Colorado, USA, without regard to conflict of law provisions, and you agree to exclusive personal jurisdiction and venue in the state and federal courts of the United States located in the State of Colorado, City of Denver. Either StudyCurve.com or you may demand that any dispute between StudyCurve.com and you about or involving the StudyCurve.com must be settled by arbitration utilizing the dispute resolution procedures of the American Arbitration Association (AAA) in Los Angeles, California, USA, provided that the foregoing shall not prevent StudyCurve.com from seeking injunctive relief in a court of competent jurisdiction.
  8. Indemnity. You agree to indemnify and hold harmless StudyCurve.com, its subsidiaries, and affiliates, and their respective officers, agents, partners and employees, from any loss, liability, claim, or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of StudyCurve.com and/or its services in violation of this Agreement and/or arising from a breach of this Agreement and/or any breach of your representations and warranties set forth above and/or if any Content that you post on StudyCurve.com or through the StudyCurve.com causes StudyCurve.com to be liable to another.
  9. Other. This Agreement is accepted upon and by virtue of your use of the StudyCurve.com Website or any of StudyCurve.com services and is further affirmed by you becoming a Member. This Agreement constitutes the entire agreement between you and StudyCurve.com regarding the use of StudyCurve.com. The failure of StudyCurve.com to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision. The section titles in this Agreement are for convenience only and have no legal or contractual effect. StudyCurve.com is a trademark of My Student Contact, L.L.C. This Agreement operates to the fullest extent permissible by law. If any provision of this Agreement is unlawful, void or unenforceable, that provision is deemed severable from this Agreement and does not affect the validity and enforceability of any remaining provisions.

Study Curve Privacy Policy

StudyCurve.com is an online service that enables our Members to set up unique personal and study profiles that can be linked to each other through networks of study partners and friends. StudyCurve.com Members can see each others' profiles, communicate with each other, share photographs, post information and study graphics, post journals and comments, and explore their mutual interests. To enrich Members' use of our services, we ask for and display some personal information to other Members and visitors. This enables our users to identify each other and expand their study and personal networks. StudyCurve.com Members can change their profiles anytime and can control how other Members and StudyCurve.com communicate with them.

Online privacy is extremely important to StudyCurve.com. If you have any questions or concerns about this Privacy Policy, please email us at privacy@studycurve.com.

Information Collection and Use by StudyCurve.com

StudyCurve.com collects user-submitted information such as name, email address, and age to authenticate users and to send notices to them pertaining to StudyCurve.com. StudyCurve.com also collects additional profile data including but not limited to: personal interests, study interests, gender, age, education, and occupation, to aid users in networking with each other.

StudyCurve.com also logs non-personally-identifiable data including IP address, profile information, aggregate user data, and browser type, from users and visitors to the site. This information is used to manage the website, track usage and improve StudyCurve.com services. This non-personally-identifiable data may also be shared with third-parties, in order to provide better or more pertinent services and advertisements to members. User IP addresses are recorded for security and monitoring purposes

User Profile information including Members' pictures and first names are displayed to Members and visitors for the purpose of facilitating user interaction in the StudyCurve.com networking community. Email addresses are used in order to invite new friends and colleagues to join StudyCurve.com, to add users to Members' networks, and to send notices pertaining to StudyCurve.com. Except for inviting friends and study partners, adding friends and study partners, and sending StudyCurve.com notices, a user's email address is not shared or displayed to people within a user's network. This is because users within a network on StudyCurve.com communicate with each other through the StudyCurve.com service, without disclosing their email addresses. Likewise, users' full names are never directly revealed to other members if the user has indicated that their name is to be private. To facilitate searching and finding people on the service, StudyCurve.com allows users to search for other Members using first and last name, email address, and schools and/or companies where users may have attended or worked.

StudyCurve.com may also use a user's email address to send updates, a newsletter or news regarding the service. Users may choose not to receive email of this type by changing their "notification" setting to "Do not send me notification emails" in the user "Account Settings"

StudyCurve.com or a partner may sometimes sponsor a promotion, sweepstake or contest on StudyCurve.com. Users who wish to participate may be asked to provide personal information including name, email address or home address or to answer questions in order to participate. StudyCurve.com may also transfer personal information to certain ad partners that you have explicitly requested to receive information from. It will be clear at the point of collection who is collecting the personal information and whose privacy statement will apply.

Invitations and Other Communications to Non-members

Members can invite friends and study partners to join StudyCurve.com by sending invitation emails via StudyCurve.com’s automated invitation system. StudyCurve.com stores the email addresses that Members supply so that the respondents may be added to the Member’s friends or study partners list, and also to send reminders of the invitations. StudyCurve.com does not sell these email addresses nor use them to send any other communication than invitations or invitation reminders. Recipients of such invitations may contact StudyCurve.com to request the removal of their data from StudyCurve.com’s database.

Use of Cookies

StudyCurve.com uses cookies to store visitors' preferences and to record session information, for purposes including assuring that visitors are not repeatedly offered the same advertisements and to customize newsletter, advertising, and web page content based on browser type and user profile information. StudyCurve.com does not link the information stored in cookies to any personally identifiable information that you submit while on StudyCurve.com. You may be able to configure your browser to accept or reject all or some cookies, or to notify you when a cookie is set -- each browser is different, so check your browser’s "Help" menu to learn how to change your cookie preferences. But you must enable cookies from StudyCurve.com in order to use most functions on the StudyCurve.com. Please note that StudyCurve.com allows 3rd party advertisers on some of our pages to set and access their cookies on your computer. Advertisers' use of cookies is subject to their own privacy policies, not the StudyCurve.com Privacy Policy.

StudyCurve.com contains links to other websites. StudyCurve.com is not responsible for the privacy policies and/or practices on other websites. When linking to another website a user should read the privacy policy stated on that website. StudyCurve.com’s privacy policy only governs information collected on StudyCurve.com.

Chat Rooms, Journals, WebLogs, Message Boards, Classifieds, Public Forums

Whenever you voluntarily post public information to journals, weblogs, message boards, classifieds or any other public forums, that information can be accessed by the public and can likewise be used by others to send you unsolicited communications.

Correcting/Updating or Removing Information
